B. Although we may attempt to notify you when major changes are made to these Terms of Service, you should periodically review the most up-to-date versions. MoviePals.org and IdeaPals.org Website may, in its sole discretion, modify or revise these Terms of Service and policies at any time, and you agree to be bound by such modifications or revisions. Nothing in this Agreement shall be deemed to confer any third-party rights or benefits.
2. MoviePals.org and IdeaPals.org Website
A. These Terms of Service apply to all users of the MoviePals.org and IdeaPals.org Websites, including users who are also contributors of video content, information, and other materials or services on the Website. The MoviePals.org and IdeaPals.org Websites include all aspects of MoviePals.org and IdeaPals.org Websites, including but not limited to all products, software and services offered via the website.
B. The MoviePals.org and IdeaPals.org Websites may contain links to third party websites that are not owned or controlled by MoviePals.org and IdeaPals.org Website. MoviePals.org and IdeaPals.org Website has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites. In addition, MoviePals.org and IdeaPals.org Website will not and cannot censor or edit the content of any third-party site. By using the Website, you expressly relieve MoviePals.org and IdeaPals.org Website from any and all liability arising from your use of any third-party website.
C. Accordingly, we encourage you to be aware when you leave the MoviePals.org and IdeaPals.org Website and to read the terms and conditions and privacy policy of each other website that you visit.
3. MoviePals.org and IdeaPals.org Website Accounts
A. In order to access some features of the Website, you will have to create a MoviePals.org and IdeaPals.org Website account. You may never use another's account without permission. When creating your account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You must notify MoviePals.org and IdeaPals.org Website immediately of any breach of security or unauthorized use of your account.
B. Although MoviePals.org and IdeaPals.org Website will not be liable for your losses caused by any unauthorized use of your account(s), you may be liable for the losses of MoviePals.org and IdeaPals.org Website or others due to such unauthorized use.
4. General Use of the Website—Permissions and Restrictions
MoviePals.org and IdeaPals.org Website hereby grants you permission to access and use the Website as set forth in these Terms of Service, provided that:
A. You agree not to distribute in any medium any part of the Website, including but not limited to User Submissions (defined below), without MoviePals.org and IdeaPals.org Website's prior written authorization.
B. You agree not to alter or modify any part of the Website with malicious intent.
C. You agree not to access User Submissions (defined below) or MoviePals.org and IdeaPals.org Content through any technology or means other than the pages of the Website itself, the MoviePals.org and IdeaPals.org Websites, or other explicitly authorized means MoviePals.org and IdeaPals.org Website may designate.
D. You agree not to use the Website, including the content on the MoviePals.org and IdeaPals.org Websites for any un-authorized commercial use, without the prior written authorization of MoviePals.org and IdeaPals.org Website. Prohibited commercial uses include any of the following actions taken without MoviePals.org and IdeaPals.org Website’s express approval:
- sale of access to the Website or its related services on another website;
- use of the Website or its related services, for the primary purpose of gaining advertising or subscription revenue; (Premium Group Leaders are exempt from this clause)
- the sale of advertising, on the MoviePals.org and IdeaPals.org Websites or any third-party website, targeted to the content of specific User Submissions or MoviePals.org and IdeaPals.org Website content; (Premium Group Leaders are exempt from this clause)
- and any use of the Website or its related services that MoviePals.org and IdeaPals.org Website finds, in its sole discretion, to use MoviePals.org and IdeaPals.org Website Website's resources or User Submissions with the effect of competing with or displacing the market for MoviePals.org and IdeaPals.org Website, MoviePals.org and IdeaPals.org Websites content, or its User Submissions. E. Prohibited commercial uses do not include:
- Any uploading an original video to MoviePals.org and IdeaPals.org Website to promote your business or artistic enterprise;
- Any use that MoviePals.org and IdeaPals.org Website expressly authorizes in writing.
- Premium Group Leaders are able to and encouraged to make money from their efforts, and furthermore any all ad revenues generated within their Premium groups will be returned to them, less any costs associated with processing and delivering such revenues to them.

F. You agree not to use or launch any automated system, including without limitation, "robots," "spiders," or "offline readers," that accesses the Website in a manner that sends more request messages to the MoviePals.org and IdeaPals.org Website servers in a given period of time than a human can reasonably produce in the same period by using a conventional on-line web browser. Notwithstanding the foregoing, MoviePals.org and IdeaPals.org Website grants the operators of public search engines permission to use spiders to copy materials from the site for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials. MoviePals.org and IdeaPals.org Website reserves the right to revoke these exceptions either generally or in specific cases. You agree not to collect or harvest any personally identifiable information, including account names, from the Website, nor to use the communication systems provided by the Website (e.g. comments, email) for any commercial solicitation purposes. You agree not to solicit, for commercial purposes, any users of the Website with respect to their User Submissions.
G. In your use of the website, you will otherwise comply with the terms and conditions of these Terms of Service, MoviePals.org and IdeaPals.org Website Community Guidelines, and all applicable local, national, and international laws and regulations.
H. MoviePals.org and IdeaPals.org Website reserves the right to discontinue any aspect of the MoviePals.org and IdeaPals.org Website at any time, including any contest or prize drawing which is not successful in fulfilling the intended purpose.
5. Your Use of Content on the Site
In addition to the general restrictions above, the following restrictions and conditions apply specifically to your use of content on the MoviePals.org and IdeaPals.org Website.
A. The content on the MoviePals.org and IdeaPals.org Website, except all User Submissions (as defined below), including without limitation, the text, software, scripts, graphics, photos, sounds, music, videos, interactive features and the like ("Content") and the trademarks, service marks and logos contained therein ("Marks"), are owned by or licensed to MoviePals.org and IdeaPals.org Website, subject to copyright and other intellectual property rights under the law. Content on the Website is provided to you AS IS for your information and personal use only and may not be downloaded, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of the respective owners. MoviePals.org and IdeaPals.org Website reserves all rights not expressly granted in and to the Website and the Content.
B. You may access User Submissions for your information and personal use solely as intended through the provided functionality of the MoviePals.org and IdeaPals.org Website. You shall not copy or download any User Submission unless you see a “download” or similar link displayed by MoviePals.org and IdeaPals.org Website on the MoviePals.org and IdeaPals.org Website for that User Submission.
C. User Comments are made available to you for your information and personal use solely as intended through the normal functionality of the MoviePals.org and IdeaPals.org Website. User Comments are made available "as is", and may not be used, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, downloaded, or otherwise exploited in any manner not intended by the normal functionality of the MoviePals.org and IdeaPals.org Website or otherwise as prohibited under this Agreement.
D. You may access MoviePals.org and IdeaPals.org Website Content, User Submissions and other content only as permitted under this Agreement. MoviePals.org and IdeaPals.org Website reserves all rights not expressly granted in and to the MoviePals.org and IdeaPals.org Website Content and the MoviePals.org and IdeaPals.org Website.
E. You agree to not engage in the use, copying, or distribution of any of the Content other than expressly permitted herein, including any use, copying, or distribution of User Submissions of third parties obtained through the Website for any commercial purposes.
F. You hereby agree not to circumvent, disable or otherwise interfere with security-related features of the MoviePals.org and IdeaPals.org Website or features that prevent or restrict use or copying of any Content; or to enforce limitations on use of the Websites; or the Content in therein.
G. You understand that when using the MoviePals.org and IdeaPals.org Website, you will be exposed to User Submissions from a variety of sources, and that MoviePals.org and IdeaPals.org Website is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such User Submissions. You further understand and acknowledge that you may be exposed to User Submissions that are inaccurate, offensive, indecent, or objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against MoviePals.org and IdeaPals.org Website with respect thereto, and agree to indemnify and hold MoviePals.org and IdeaPals.org Website, its Owners/Operators, affiliates, and/or licensors, harmless to the fullest extent allowed by law regarding all matters related to your use of the site.
6. Your User Submissions and Conduct
A. As a MoviePals.org and IdeaPals.org Website account holder you may submit video content ("User Videos") and textual content ("User Comments"). User Videos and User Comments are collectively referred to as "User Submissions." You understand that whether or not such User Submissions are published, MoviePals.org and IdeaPals.org Website does not guarantee any confidentiality with respect to any User Submissions.
B. You shall be solely responsible for your own User Submissions and the consequences of posting or publishing them. In connection with User Submissions, you affirm, represent, and/or warrant that: you own or have the necessary licenses, rights, consents, and permissions to use and authorize MoviePals.org and IdeaPals.org Website to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all User Submissions to enable inclusion and use of the User Submissions in the manner contemplated by the Website and these Terms of Service.
C. For clarity, you retain all of your ownership rights in your User Submissions. However, unless provided for separately in a written agreement such as the MoviePals Entertainment agreements for the creation and distribution of properties that are actually owned by those who create them, by submitting User Submissions to MoviePals.org and IdeaPals.org Website, you hereby grant MoviePals.org and IdeaPals.org Website a worldwide, non-exclusive, royalty-free, sublicense-able and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Submissions in connection with the MoviePals.org and IdeaPals.org Website and MoviePals.org and IdeaPals.org Website's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the MoviePals.org and IdeaPals.org Website (and derivative works thereof) in any media formats and through any media channels. You also hereby grant each user of the MoviePals.org and IdeaPals.org Website a non-exclusive license to access your User Submissions through the Website, and to use, reproduce, distribute, display and perform such User Submissions as permitted through the functionality of the Website and under these Terms of Service. The above licenses granted by you in User Videos terminate within a commercially reasonable time after you remove or delete your User Videos from the MoviePals.org and IdeaPals.org Website. You understand and agree, however, that MoviePals.org and IdeaPals.org Website may retain, but not display, distribute, or perform, server copies of User Submissions that have been removed or deleted. The above licenses granted by you in User Comments are perpetual and irrevocable.
D. In connection with User Submissions, you further agree that you will not submit material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post the material and to grant MoviePals.org and IdeaPals.org Website all of the license rights granted herein; and even then you do so at your own risk.
E. You further agree that you will not, in connection with User Submissions, submit material that is contrary to the MoviePals.org and IdeaPals.org Website Community Guidelines, found at http://www.MoviePals.org and IdeaPals.org /community_guidelines/, which may be updated from time to time, or contrary to applicable local, national, and international laws and regulations.
F. MoviePals.org and IdeaPals.org Website does not endorse any User Submission or any opinion, recommendation, or advice expressed therein, and MoviePals.org and IdeaPals.org Website expressly disclaims any and all liability in connection with User Submissions. MoviePals.org and IdeaPals.org Website does not permit copyright infringing activities and infringement of intellectual property rights on its Website, and MoviePals.org and IdeaPals.org Website will remove all Content and User Submissions if properly notified that such Content or User Submission infringes on another's intellectual property rights. MoviePals.org and IdeaPals.org Website reserves the right to remove Content and User Submissions without prior notice.
7. Account Termination Policy
A. MoviePals.org and IdeaPals.org Website will terminate a User's access to its Website if, under appropriate circumstances, they are determined to be a repeat infringer.
B. MoviePals.org and IdeaPals.org Website reserves the right to decide whether Content or a User Submission is appropriate and complies with these Terms of Service for violations other than copyright infringement, such as, but not limited to, pornography, obscene or defamatory material, or excessive length. MoviePals.org and IdeaPals.org Website may remove such User Submissions and/or terminate a User's access for uploading such material in violation of these Terms of Service at any time, without prior notice and at its sole discretion.
8. Digital Millennium Copyright Act
A. If you are a copyright owner or an agent thereof and believe that any User Submission or other content infringes upon your copyrights, you may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA") by providing our Copyright Agent with the following information in writing (see 17 U.S.C 512(c)(3) for further detail):
- A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed
- Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site
- Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled and information reasonably sufficient to permit the service provider to locate the material;
- Information reasonably sufficient to permit the service provider to contact you, such as an address, telephone number, and, if available, an electronic mail;
- A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
- A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

For clarity, only DMCA notices should go to the Copyright Agent; any other feedback, comments, requests for technical support, and other communications should be sent to support@MoviePals.org and support@IdeaPals.org. You acknowledge that if you fail to comply with all of the requirements of this Section 5(D), your DMCA notice may not be valid.
B. Counter-Notice. If you believe that your User Submission that was removed (or to which access was disabled) is not infringing, or that you have the authorization from the copyright owner, the copyright owner's agent, or pursuant to the law, to post and use the content in your User Submission, you may send a counter-notice containing the following information to the Copyright Agent:
* Your physical or electronic signature;
* Identification of the content that has been removed or to which access has been disabled and the location at which the content appeared before it was removed or disabled;
* A statement that you have a good faith belief that the content was removed or disabled as a result of mistake or a misidentification of the content; and
* Your name, address, telephone number, and e-mail address, a statement that you consent to the jurisdiction of the federal court in Los Angeles, California, and a statement that you will accept service of process from the person who provided notification of the alleged infringement.
If a counter-notice is received by the Copyright Agent, MoviePals.org and IdeaPals.org Website may send a copy of the counter-notice to the original complaining party informing that person that it may replace the removed content or cease disabling it in 10 business days. Unless the copyright owner files an action seeking a court order against the content provider, member or user, the removed content may be replaced, or access to it restored, in 10 to 14 business days or more after receipt of the counter-notice, at MoviePals.org and IdeaPals.org Website’s sole discretion.
9. Warranty Disclaimer
YOU AGREE THAT YOUR USE OF THE MOVIEPALS.ORG AND IDEAPALS.ORG WEBSITE SHALL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, MOVIEPALS.ORG AND IDEAPALS.ORG WEBSITE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE WEBSITE AND YOUR USE THEREOF. 10. Limitation of Liability

The Website is controlled and offered by MoviePals.org and IdeaPals.org Website from its facilities and 3rd party hosting providers in the United States of America. MoviePals.org and IdeaPals.org Website makes no representations that the MoviePals.org and IdeaPals.org Website is appropriate or available for use in other locations. Those who access or use the MoviePals.org and IdeaPals.org Website from other jurisdictions do so at their own volition and are responsible for compliance with local law.
11. Indemnity
You agree to defend, indemnify and hold harmless MoviePals.org and IdeaPals.org Website, its officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the MoviePals.org and IdeaPals.org Website; (ii) your violation of any term of these Terms of Service; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that one of your User Submissions caused damage to a third party. 12. Ability to Accept Terms of Service
You affirm that you are either more than 18 years of age, or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Service, and to abide by and comply with these Terms of Service. In any case, you affirm that you are over the age of 13, as the MoviePals.org and IdeaPals.org Website is not intended for children under 13. 13. Assignment
These Terms of Service, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by MoviePals.org and IdeaPals.org Website without restriction.
14. General

1. Your relationship with MoviePals.org and IdeaPals.org Website
1.1 Your use of MoviePals.org and IdeaPals.org Website’s products, software, services and web sites (referred to collectively as the “Services” in this document and excluding any services provided to you by MoviePals.org and IdeaPals.org Website under a separate written agreement) is subject to the terms of a legal agreement between you and MoviePals.org and IdeaPals.org Website. “MoviePals.org and IdeaPals.org Website” means MoviePals.org and IdeaPals.org Website Entertainment, LLC, whose principal place of business is at 610 S. You acknowledge and agree that Subsidiaries and Affiliates will be entitled to provide the Services to you.
4.2 MoviePals.org and IdeaPals.org Website is constantly innovating in order to provide the best possible experience for its users. 5. Use of the Services by you

You specifically agree not to access (or attempt to access) any of the Services through any automated means (including use of scripts or web crawlers) and shall ensure that you comply with the instructions set out in any robots.txt file present on the Services.
5.4 You agree that you will not engage in any activity that interferes with or disrupts the Services (or the servers and networks which are connected to the Services).
5.5 Unless you have been specifically permitted to do so in a separate agreement with MoviePals.org and IdeaPals.org Website, you agree that you will not reproduce, duplicate, copy, sell, trade or resell the Services for any purpose.
5.6 You agree that you are solely responsible for (and that MoviePals.org and IdeaPals.org Website has no responsibility to you or to any third party for) any breach of your obligations under the Terms and for the consequences (including any loss or damage which MoviePals.org and IdeaPals.org Website may suffer) of any such breach.
6. Your passwords and account security
6.1 You agree and understand that you are responsible for maintaining the confidentiality of passwords associated with any account you use to access the Services.
6.2 Accordingly, you agree that you will be solely responsible to MoviePals.org and IdeaPals.org Website for all activities that occur under your account.
6.3 If you become aware of any unauthorized use of your password or of your account, you agree to notify MoviePals.org and IdeaPals.org Website immediately via email to support@MoviePals.org and IdeaPals.org Website.org.
7. Privacy and your personal information

8. Content in the Services
8.1 You understand that all information (such as data files, written text, computer software, music, audio files or other sounds, photographs, videos or other images) which you may have access to as part of, or through your use of, the Services are the sole responsibility of the person from which such content originated. All such information is referred to below as the “Content”.

9. Proprietary rights
9.1 You acknowledge and agree that MoviePals.org and IdeaPals.org Website (or MoviePals.org and IdeaPals.org Website’s licensors) own all legal right, title and interest in and to the Services, including any intellectual property rights which subsist in the Services (whether those rights happen to be registered or not, and wherever in the world those rights may exist). You further acknowledge that the Services may contain information which is designated confidential by MoviePals.org and IdeaPals.org Website and that you shall not disclose such information without MoviePals.org and IdeaPals.org Website’s prior written consent.
9.2 Unless you have agreed otherwise in writing with MoviePals.org and IdeaPals.org Website, nothing in the Terms gives you a right to use any of MoviePals.org and IdeaPals.org Website’s trade names, trademarks, service marks, logos, domain names, and other distinctive brand features.
9.3 If you have been given an explicit right to use any of these brand features in a separate written agreement with MoviePals.org and IdeaPals.org Website, then you agree that your use of such features shall be in compliance with that agreement, any applicable provisions of the Terms, and MoviePals.org and IdeaPals.org Website's brand feature use guidelines as updated from time to time. 9.4 Other than the limited license set forth in Section 11, MoviePals.org and IdeaPals.org Website acknowledges and agrees that it obtains no right, title or interest from you (or your licensors) under these Terms in or to any Content that you submit, post, transmit or display on, or through, the Services, including any intellectual property rights which subsist in that Content (whether those rights happen to be registered or not, and wherever in the world those rights may exist). Unless you have agreed otherwise in writing with MoviePals.org and IdeaPals.org Website, you agree that you are responsible for protecting and enforcing those rights and that MoviePals.org and IdeaPals.org Website has no obligation to do so on your behalf.
9.5 You agree that you shall not remove, obscure, or alter any proprietary rights notices (including copyright and trade mark notices) which may be affixed to or contained within the Services.
9.6 Unless you have been expressly authorized to do so in writing by MoviePals.org and IdeaPals.org Website, you agree that in using the Services, you will not use any trademark, service mark, trade name, logo of any company or organization in a way that is likely or intended to cause confusion about the owner or authorized user of such marks, names or logos.
10. License from MoviePals.org and IdeaPals.org Website
10.1 MoviePals.org and IdeaPals.org Website gives you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the software provided to you by MoviePals.org and IdeaPals.org Website as part of the Services as provided to you by MoviePals.org and IdeaPals.org Website (referred to as the “Software” below). This license is for the sole purpose of enabling you to use and enjoy the benefit of the Services as provided by MoviePals.org and IdeaPals.org Website, in the manner permitted by the Terms.
10.2 You may not (and you may not permit anyone else to) copy, modify, create a derivative work of, reverse engineer, decompile or otherwise attempt to extract the source code of the Software or any part thereof, unless this is expressly permitted or required by law, or unless you have been specifically told that you may do so by MoviePals.org and IdeaPals.org Website, in writing.
10.3 Unless MoviePals.org and IdeaPals.org Website has given you specific written permission to do so, you may not assign (or grant a sub-license of) your rights to use the Software, grant a security interest in or over your rights to use the Software, or otherwise transfer any part of your rights to use the Software.
11. Content license from you
11.1 You retain copyright and any other rights you already hold in Content which you submit, post or display on or through, the Services. By submitting, posting or displaying the content you give MoviePals.org and IdeaPals.org Website a perpetual, irrevocable, worldwide, royalty-free, and non-exclusive license to reproduce, adapt, modify, translate, publish, publicly perform, publicly display and distribute any Content which you submit, post or display on or through, the Services. This license is for the sole purpose of enabling MoviePals.org and IdeaPals.org Website to display, distribute and promote the Services and may be revoked for certain Services as defined in the Additional Terms of those Services.
11.2 You agree that this license includes a right for MoviePals.org and IdeaPals.org Website to make such Content available to other companies, organizations or individuals with whom MoviePals.org and IdeaPals.org Website has relationships for the provision of syndicated services, and to use such Content in connection with the provision of those services.
11.3 You understand that MoviePals.org and IdeaPals.org Website, in performing the required technical steps to provide the Services to our users, may (a) transmit or distribute your Content over various public networks and in various media; and (b) make such changes to your Content as are necessary to conform and adapt that Content to the technical requirements of connecting networks, devices, services or media. You agree that this license shall permit MoviePals.org and IdeaPals.org Website to take these actions.
11.4 You confirm and warrant to MoviePals.org and IdeaPals.org Website that you have all the rights, power and authority necessary to grant the above license.
12. Software updates
12.1 The Software which you use may automatically download and install updates from time to time from MoviePals.org and IdeaPals.org Website. These updates are designed to improve, enhance and further develop the Services and may take the form of bug fixes, enhanced functions, new software modules and completely new versions. You agree to receive such updates (and permit MoviePals.org and IdeaPals.org Website to deliver these to you) as part of your use of the Services.
13. Ending your relationship with MoviePals.org and IdeaPals.org Website
13.1 The Terms will continue to apply until terminated by either you or MoviePals.org and IdeaPals.org Website as set out below.
13.2 If you want to terminate your legal agreement with MoviePals.org and IdeaPals.org Website, you may do so by (a) notifying MoviePals.org and IdeaPals.org Website at any time and (b) closing your accounts for all of the Services which you use, where MoviePals.org and IdeaPals.org Website has made this option available to you. Your notice should be sent, in writing, to MoviePals.org and IdeaPals.org Website’s address which is set out at the beginning of these Terms.
13.3 MoviePals.org and IdeaPals.org Website may at any time, terminate its legal agreement with you if:
(A) you have breached any provision of the Terms (or have acted in manner which clearly shows that you do not intend to, or are unable to comply with the provisions of the Terms); or
(B) MoviePals.org and IdeaPals.org Website is required to do so by law (for example, where the provision of the Services to you is, or becomes, unlawful); or
(C) the partner with whom MoviePals.org and IdeaPals.org Website offered the Services to you has terminated its relationship with MoviePals.org and IdeaPals.org Website or ceased to offer the Services to you; or
(D) MoviePals.org and IdeaPals.org Website is transitioning to no longer providing the Services to users in the country in which you are resident or from which you use the service; or
(E) the provision of the Services to you by MoviePals.org and IdeaPals.org Website is, in MoviePals.org and IdeaPals.org Website’s opinion, no longer commercially viable.
13.4 Nothing in this Section shall affect MoviePals.org and IdeaPals.org Website’s rights regarding provision of Services under Section 4 of the Terms.
13.5 When these Terms come to an end, all of the legal rights, obligations and liabilities that you and MoviePals.org and IdeaPals.org Website have benefited from, been subject to (or which have accrued over time whilst the Terms have been in force) or which are expressed to continue indefinitely, shall be unaffected by this cessation, and the provisions of paragraph 20.7 shall continue to apply to such rights, obligations and liabilities indefinitely.
14. EXCLUSION OF WARRANTIES
14.1 NOTHING IN THESE TERMS, INCLUDING SECTIONS 14 AND 15, SHALL EXCLUDE OR LIMIT MOVIEPALS.ORG AND IDEAPALS.ORG WEBSITE’S WARRANTY OR LIABILITY FOR LOSSES WHICH MAY NOT BE LAWFULLY EXCLUDED OR LIMITED BY APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR CONDITIONS OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR LOSS OR DAMAGE CAUSED BY NEGLIGENCE, BREACH OF CONTRACT OR BREACH OF IMPLIED TERMS, OR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, ONLY THE LIMITATIONS WHICH ARE LAWFUL IN YOUR JURISDICTION WILL APPLY TO YOU AND OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
14.2 YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK AND THAT THE SERVICES ARE PROVIDED "AS IS" AND “AS AVAILABLE.”
14.3 IN PARTICULAR, MOVIEPALS.ORG AND IDEAPALS.ORG WEBSITE, ITS SUBSIDIARIES AND AFFILIATES, AND ITS LICENSORS DO NOT REPRESENT OR WARRANT TO YOU THAT:
(A) YOUR USE OF THE SERVICES WILL MEET YOUR REQUIREMENTS,
(B) YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR FREE FROM ERROR,
(C) ANY INFORMATION OBTAINED BY YOU AS A RESULT OF YOUR USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE, AND
(D) THAT DEFECTS IN THE OPERATION OR FUNCTIONALITY OF ANY SOFTWARE PROVIDED TO YOU AS PART OF THE SERVICES WILL BE CORRECTED.
14.4 ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR OTHER DEVICE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.
14.5 NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM MOVIEPALS.ORG AND IDEAPALS.ORG WEBSITE OR THROUGH OR FROM THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TERMS.
14.6 MOVIEPALS.ORG AND IDEAPALS.ORG WEBSITE FURTHER EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
15. LIMITATION OF LIABILITY
15.1 SUBJECT TO OVERALL PROVISION IN PARAGRAPH 14.1 ABOVE, YOU EXPRESSLY UNDERSTAND AND AGREE THAT MOVIEPALS.ORG AND IDEAPALS.ORG WEBSITE, ITS SUBSIDIARIES AND AFFILIATES, AND ITS LICENSORS SHALL NOT BE LIABLE TO YOU FOR:
(A) ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL CONSEQUENTIAL OR EXEMPLARY DAMAGES WHICH MAY BE INCURRED BY YOU, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY.. THIS SHALL INCLUDE, BUT NOT BE LIMITED TO, ANY LOSS OF PROFIT (WHETHER INCURRED DIRECTLY OR INDIRECTLY), ANY LOSS OF GOODWILL OR BUSINESS REPUTATION, ANY LOSS OF DATA SUFFERED, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR OTHER INTANGIBLE LOSS;
(B) ANY LOSS OR DAMAGE WHICH MAY BE INCURRED BY YOU, INCLUDING BUT NOT LIMITED TO LOSS OR DAMAGE AS A RESULT OF:
(I) ANY RELIANCE PLACED BY YOU ON THE COMPLETENESS, ACCURACY OR EXISTENCE OF ANY ADVERTISING, OR AS A RESULT OF ANY RELATIONSHIP OR TRANSACTION BETWEEN YOU AND ANY ADVERTISER OR SPONSOR WHOSE ADVERTISING APPEARS ON THE SERVICES;
(II) ANY CHANGES WHICH MOVIEPALS.ORG AND IDEAPALS.ORG WEBSITE MAY MAKE TO THE SERVICES, OR FOR ANY PERMANENT OR TEMPORARY CESSATION IN THE PROVISION OF THE SERVICES (OR ANY FEATURES WITHIN THE SERVICES);
(III) THE DELETION OF, CORRUPTION OF, OR FAILURE TO STORE, ANY CONTENT AND OTHER COMMUNICATIONS DATA MAINTAINED OR TRANSMITTED BY OR THROUGH YOUR USE OF THE SERVICES;
(III) YOUR FAILURE TO PROVIDE MOVIEPALS.ORG AND IDEAPALS.ORG WEBSITE WITH ACCURATE ACCOUNT INFORMATION;
(IV) YOUR FAILURE TO KEEP YOUR PASSWORD OR ACCOUNT DETAILS SECURE AND CONFIDENTIAL;
15.2 THE LIMITATIONS ON MOVIEPALS.ORG AND IDEAPALS.ORG WEBSITE’S LIABILITY TO YOU IN PARAGRAPH 15.1 ABOVE SHALL APPLY WHETHER OR NOT MOVIEPALS.ORG AND IDEAPALS.ORG WEBSITE HAS BEEN ADVISED OF OR SHOULD HAVE BEEN AWARE OF THE POSSIBILITY OF ANY SUCH LOSSES ARISING.
16. Copyright and trade mark policies
16.1 It is MoviePals.org and IdeaPals.org Website’s policy to respond to notices of alleged copyright infringement that comply with applicable international intellectual property law (including, in the United States, the Digital Millennium Copyright Act) and to terminating the accounts of repeat infringers. 16.2 MoviePals.org and IdeaPals.org Website operates a trade mark complaints procedure in respect of MoviePals.org and IdeaPals.org Website’s advertising business, details of which can be found at http://www.MoviePals.org and IdeaPals.org Website.org/tm_complaint.html.
17. Advertisements
17.1 Some of the Services are supported by advertising revenue and may display advertisements and promotions. These advertisements may be targeted to the content of information stored on the Services, queries made through the Services or other information.
17.2 The manner, mode and extent of advertising by MoviePals.org and IdeaPals.org Website on the Services are subject to change without specific notice to you.
17.3 In consideration for MoviePals.org and IdeaPals.org Website granting you access to and use of the Services, you agree that MoviePals.org and IdeaPals.org Website may place such advertising on the Services.
18. Other content
18.1 The Services may include hyperlinks to other web sites or content or resources. MoviePals.org and IdeaPals.org Website may have no control over any web sites or resources which are provided by companies or persons other than MoviePals.org and IdeaPals.org Website.
18.2 You acknowledge and agree that MoviePals.org and IdeaPals.org Website is not responsible for the availability of any such external sites or resources, and does not endorse any advertising, products or other materials on or available from such web sites or resources.
18.3 You acknowledge and agree that MoviePals.org and IdeaPals.org Website is not liable for any loss or damage which may be incurred by you as a result of the availability of those external sites or resources, or as a result of any reliance placed by you on the completeness, accuracy or existence of any advertising, products or other materials on, or available from, such web sites or resources.
19. Changes to the Terms
19.1 MoviePals.org and IdeaPals.org Website may make changes to the Universal Terms or Additional Terms from time to time. When these changes are made, MoviePals.org and IdeaPals.org Website will make a new copy of the Universal Terms available at http://www.MoviePals.org and IdeaPals.org and any new Additional Terms will be made available to you from within, or through, the affected Services.
19.2 You understand and agree that if you use the Services after the date on which the Universal Terms or Additional Terms have changed, MoviePals.org and IdeaPals.org Website will treat your use as acceptance of the updated Universal Terms or Additional Terms.
20. General legal terms
20.1 Sometimes when you use the Services, you may (as a result of, or through your use of the Services) use a service or download a piece of software, or purchase goods, which are provided by another person or company. Your use of these other services, software or goods may be subject to separate terms between you and the company or person concerned. If so, the Terms do not affect your legal relationship with these other companies or individuals.
20.2 The Terms constitute the whole legal agreement between you and MoviePals.org and IdeaPals.org Website and govern your use of the Services (but excluding any services which MoviePals.org and IdeaPals.org Website may provide to you under a separate written agreement), and completely replace any prior agreements between you and MoviePals.org and IdeaPals.org Website in relation to the Services.
20.3 You agree that MoviePals.org and IdeaPals.org Website may provide you with notices, including those regarding changes to the Terms, by email, regular mail, or postings on the Services.
20.4 You agree that if MoviePals.org and IdeaPals.org Website does not exercise or enforce any legal right or remedy which is contained in the Terms (or which MoviePals.org and IdeaPals.org Website has the benefit of under any applicable law), this will not be taken to be a formal waiver of MoviePals.org and IdeaPals.org Website’s rights and that those rights or remedies will still be available to MoviePals.org and IdeaPals.org Website.
20.5 If any court of law, having the jurisdiction to decide on this matter, rules that any provision of these Terms is invalid, then that provision will be removed from the Terms without affecting the rest of the Terms. The remaining provisions of the Terms will continue to be valid and enforceable.
20.6 You acknowledge and agree that each member of the group of companies of which MoviePals.org and IdeaPals.org Website is the parent shall be third party beneficiaries to the Terms and that such other companies shall be entitled to directly enforce, and rely upon, any provision of the Terms which confers a benefit on (or rights in favor of) them. Other than this, no other person or company shall be third party beneficiaries to the Terms.
20.7 The Terms, and your relationship with MoviePals.org and IdeaPals.org Website under the Terms, shall be governed by the laws of the State of California without regard to its conflict of law’s provisions. You and MoviePals.org and IdeaPals.org Website agree to submit to the exclusive jurisdiction of the courts located within the county of Los Angeles, California to resolve any legal matter arising from the Terms. Notwithstanding this, you agree that MoviePals.org and IdeaPals.org Website shall still be allowed to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.
Uploading materials that you do not own is a copyright violation and against the law. If you upload material you do not own, your account will be deleted.
